Terms of Service

Who this applies to

These terms govern any website design, build, or paid advertising services provided by Rivali Digital Ltd, a company registered in England & Wales, company number 15958438, to any client ("you") who engages us for those services.

Our services

We provide custom website design and development, and paid advertising campaign management (Facebook, Instagram, Google, or other platforms as agreed). The specific scope of work for your project will be agreed separately before we begin — either in writing, by email, or via a signed proposal.

Payment terms

• A 50% deposit is required before work begins
• The remaining 50% is due on the day the site goes live
• Late payments may result in paused work until the account is settled
• Invoices are issued through GoHighLevel; payment is made by bank transfer

Revisions

Each project includes 3 rounds of revisions as part of the agreed scope, typically covered through a quick call. Additional revisions beyond this, or changes to the original scope, may be billed separately at [your rate].

Timelines

Estimated timelines are provided in good faith based on the agreed scope. Delays caused by late client feedback, missing content, or scope changes may extend the original timeline.

Intellectual property

Upon full and final payment, ownership of the completed website design and any custom code built specifically for you transfers to you. We retain the right to display the completed work in our own portfolio and marketing materials, unless you request otherwise in writing.

Any third-party tools, plugins, stock assets, or platforms used (including GoHighLevel itself) remain the property of their respective owners and are licensed, not sold, to you.

Cancellation & refunds

If you cancel before any work has started, your deposit is refunded in full. If you cancel after work has started but before the site goes live, the deposit is non-refundable, as it covers work already completed. Once the site has gone live, the remaining balance is due in full regardless of cancellation.

Ongoing services (ads management, hosting, etc.)

Where your project includes an ongoing monthly fee (e.g. hosting or platform costs), billing begins 30 days after the site goes live, typically around one-tenth of the setup fee unless otherwise agreed. Either party may cancel this ongoing service with 30 days' written notice. Ad spend paid directly to platforms (Meta, Google, etc.) is separate from our management fee and is non-refundable once spent.

Liability

We'll deliver services with reasonable skill and care, but we don't guarantee specific business outcomes (e.g. a specific number of leads or sales), since results depend on factors outside our control. Our liability for any claim arising from our services is limited to the amount paid for the specific service in question.

Governing law

These terms are governed by the laws of England & Wales, and any disputes will be subject to the exclusive jurisdiction of the courts of England & Wales.
